AGREEMENT TO OUR LEGAL TERMS

These Legal Terms constitute a legally binding agreement between you (whether personally or on behalf of an entity) and Adevar Labs Inc. By accessing the Services, you agree to be bound by these Legal Terms. If you do not agree, discontinue use immediately.

Supplemental terms or documents may be posted and are hereby incorporated. We reserve the right to update these Legal Terms at any time. Updates will be reflected by the "Last updated" date. You waive the right to receive specific notice. Continued use of the Services means you accept the revised terms.

1. OUR SERVICES

The Services are not intended for distribution or use in any jurisdiction where such actions are prohibited by law. Users accessing the Services from other locations do so at their own risk.

2. INTELLECTUAL PROPERTY RIGHTS

We own or license all intellectual property in the Services, including source code, software, design, text, media, and trademarks ("Content" and "Marks"). The Content is provided "AS IS" for personal or internal business use only.

You are granted a non-exclusive, non-transferable, revocable license to access and use the Services, and download or print accessible Content for personal or internal use. You may not exploit or reproduce any Content or Marks for commercial purposes without our written permission.

Submissions such as questions or feedback you provide grant us full rights to use them. You confirm submissions do not violate any laws or third-party rights.

3. USER REPRESENTATIONS

You represent that:

1. You have legal capacity.
2. You are not a minor.
3. You will not access via bots or scripts.
4. Your use will be lawful.

Providing false information may result in suspension or termination.

4. PROHIBITED ACTIVITIES

Do not:

• Extract data for unauthorized compilations.
• Mislead users or the Company.
• Circumvent security features.
• Harm or harass others.
• Upload malware.
• Impersonate others.
• Reverse engineer or scrape the Services.

Use for any unauthorized or illegal purposes is strictly forbidden.

5. USER GENERATED CONTRIBUTIONS

We may allow user-generated content ("Contributions"). You are solely responsible for them and their legality. You represent that you own or have rights to post such Contributions.

6. CONTRIBUTION LICENSE

You retain ownership of your Contributions but grant us the right to access, process, and use them. We may use feedback without compensation.

We are not liable for any user Contributions.

7. SERVICES MANAGEMENT

We reserve the right to:

• Monitor the Services.
• Take legal action.
• Remove or restrict access to content.
• Disable content that burdens systems.
• Maintain platform integrity.

8. TERM AND TERMINATION

These terms remain in effect while you use the Services. We may suspend or terminate your access for any violation, without notice or liability. Attempting to register a new account post-termination is prohibited.

9. MODIFICATIONS AND INTERRUPTIONS

We may modify or discontinue Services at any time. We are not liable for downtime or lost access. We are not obligated to update any content.

10. GOVERNING LAW

These terms are governed by the laws of the State of New York. Any dispute falls under the exclusive jurisdiction of New York courts.

11. DISPUTE RESOLUTION

Informal Negotiations: Must be attempted for 60 days prior to arbitration.

Arbitration: Disputes shall be resolved by ICAC in Brussels under European Arbitration Chamber rules. Language: English. Governing law: New York.

Restrictions: No class actions or representative claims.

Exceptions: IP disputes, theft, piracy, or requests for injunctive relief are excluded from arbitration.

12. CORRECTIONS

We may correct errors or omissions in Services content at any time.

13. DISCLAIMER

Services are provided "AS IS." We disclaim all warranties. We are not responsible for inaccuracies, errors, unauthorized access, service interruptions, or any third-party content.

14. LIMITATIONS OF LIABILITY

We are not liable for indirect or consequential damages. Our maximum liability is limited to the amount you paid, if any.

15. INDEMNIFICATION

You agree to indemnify and hold us harmless against third-party claims arising from:

• Your use of the Services.
• Breach of these terms.
• Violation of laws or third-party rights.

16. USER DATA

We perform routine backups but are not liable for data loss. You are responsible for your own data.

17. ELECTRONIC COMMUNICATIONS, TRANSACTIONS, AND SIGNATURES

You consent to receive notices and communications electronically. You accept electronic signatures and records as legally binding.

18. MISCELLANEOUS

These terms constitute the entire agreement. If any part is deemed unlawful or unenforceable, it shall be severed. No agency or partnership is formed. You waive any defenses related to electronic format.
